1. Introduction

Welcome to Asakiri ("we," "our," or "us"). These Terms and Conditions govern your access to and use of the Asakiri website, applications and services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not access or use our Platform.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current or incomplete.

Users may create, upload, post or share Content on the Platform, including courses, lessons, comments and other materials.

You represent and warrant that:

• You own or have the necessary rights to the Content you post on the Platform.
• Your Content does not violate the privacy rights, copyright rights or other rights of any person or entity.
• Your Content does not contain material that is unlawful, obscene, defamatory, threatening, harassing, abusive or hateful.

We reserve the right to remove any Content that violates these terms or that we find objectionable for any reason.

5. Platform Rules

When using our Platform, you agree not to:

• Use the Platform for any illegal purpose or in violation of any local, state, national or international law.
• Violate or encourage others to violate the rights of third parties, including intellectual property rights.
• Post, upload or distribute any Content that is unlawful, defamatory, libelous, inaccurate or that a reasonable person could deem to be objectionable.
• Use the Platform to send unsolicited communications, promotions or advertisements or spam.
• Impersonate another person or misrepresent your affiliation with a person or entity.
• Interfere with the operation of the Platform, including by using any type of bot, virus, or other software that may disable, overburden or impair the Platform.
• Attempt to gain unauthorized access to the Platform or to other users' accounts.

6. Intellectual Property

The Platform and its original content, features and functionality are owned by Asakiri and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download or distribute any portion of the Platform without our prior written consent.

The names, logos and all related product and service names, designs and slogans are trademarks of Asakiri or its affiliates or licensors. You may not use such marks without our prior written permission.

7. Course Enrollment and Payments

Users may enroll in courses provided by teachers on the Platform. Some courses may be offered for free, while others may require payment.

For paid courses, payment must be made through our designated payment processors. All payments are subject to the terms and conditions of the respective payment processors.

Once payment is processed, you will be granted access to the paid course for the specified duration or indefinitely, as indicated at the time of purchase.

Refund requests will be handled on a case by case basis and must be submitted within 14 days of purchase. We reserve the right to refuse refund requests if we determine that a user has accessed a significant portion of the course content.

8. Teacher Revenue Sharing

Teachers who create and publish courses on the Platform may be eligible to receive a share of the revenue generated from their courses.

The specific revenue sharing arrangement will be specified in a separate agreement between the teacher and Asakiri.

9. Platform Federation

Asakiri may federate with other instances of the platform or similar language learning platforms. When a course is federated, it may be displayed on other platforms.

By publishing a course with federation enabled, you acknowledge and agree that your course may be made available on federated platforms, subject to the terms and conditions of those platforms.

10. Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.

Upon termination, your right to use the Platform will cease immediately. If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

11. Limitation of Liability

In no event shall Asakiri, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorized access, use or alteration of your transmissions or content.

12. Disclaimer

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Asakiri makes no warranties, expressed or implied and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Asakiri does not warrant that the Platform will function uninterrupted, secure, or available at any particular time or location or that any errors or defects will be corrected.

13. Changes to Terms and Conditions

We reserve the right to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform.
